Terms of Service

These Terms of Service govern your access to and use of grasscoding and all related products, hosted environments, preview infrastructure, collaboration tools, remote computers, editors, terminals, agents, websites, and services operated by grasscoding, Inc. By accessing, browsing, registering for, purchasing, or otherwise using our product or service, you agree to be bound by these Terms of Service. If you do not agree, do not use the product or service.

1. Eligibility, Accounts, and Access

You may use grasscoding only if you are legally able to enter into a binding agreement with grasscoding, Inc. and are not prohibited from using the service under applicable law. You are responsible for maintaining the confidentiality of your account, connected authentication methods, linked repositories, API credentials, and any other secrets or access tokens associated with your use of the service. You are responsible for all activity occurring under your account, whether such activity is initiated by you, your team, your agents, or any automation you enable through the platform.

We may suspend, restrict, or terminate access to the service if we believe an account is being used in a way that creates operational risk, violates these terms, violates law, threatens security, abuses infrastructure, or materially harms other users, systems, or networks. We may also place reasonable product, rate, or usage limits on free, limited, trial, or promotional offerings.

2. Nature of the Service

grasscoding provides access to remote software-development infrastructure and workflows. Features may include agent execution, repository setup, remote terminals, editors, previews, VM provisioning, cloning, command execution, logs, integrations, and related hosted tools. The service may evolve over time. We may add, remove, improve, rename, or discontinue features, interfaces, models, pricing, limits, or integrations at any time.

The service may rely on third-party systems, model providers, hosting vendors, source-control providers, communication channels, and infrastructure dependencies. We do not guarantee uninterrupted availability, compatibility with every repository, or that every preview, command, or automation will execute exactly as expected in every environment.

3. Third-Party Software, AI Assistants, and Provider Accounts

The service may allow you to run third-party command-line tools, editors, agents, and AI assistants—including examples such as Claude Code, Codex, Gemini CLI, or similar offerings—on remote environments we provision for you. When you choose to install or run those tools on a hosted machine, you do so as between you and the applicable third-party licensor or service provider. grasscoding, Inc. does not grant you any license to third-party software and is not a party to your relationship with those providers.

Unless we expressly state otherwise in a separate written agreement, we provide hosted infrastructure and related platform features (for example remote computers, terminals, previews, and optional message relays). We do not sell or resell access to third-party model APIs as a metered product, and fees you pay us generally reflect compute, environments, and platform capabilities—not charges assessed by third-party model or tool providers for your usage of their services.

You are solely responsible for authenticating to third-party services in compliance with those providers’ current terms of use, acceptable use policies, subscription rules, and technical requirements. You must not use the service in a way that causes grasscoding, Inc. to violate any agreement we have with an upstream vendor, and you must not misrepresent who is using a third-party account or attempt to circumvent a provider’s enforcement mechanisms.

No guarantee of continued third-party access. Third-party providers may suspend, restrict, rate-limit, modify, or terminate accounts, credentials, APIs, features, or pricing at any time, with or without notice, for reasons that may include policy enforcement, abuse prevention, fraud detection, capacity management, or product changes. grasscoding, Inc. does not control those decisions and makes no representation or warranty that any particular tool, authentication method, or workflow will remain permitted, available, or uninterrupted.

No responsibility for provider account actions. To the fullest extent permitted by law, grasscoding, Inc. is not responsible or liable for any suspension, termination, ban, loss of access, billing dispute, data loss, enforcement action, or any other consequence arising from your use of third-party software or services on or through the platform—including consequences alleged to result from running tools on hosted environments, using integrations such as messaging relays, or any other feature of the service. You acknowledge that provider enforcement can occur even when your use feels similar to local development.

4. Your Repositories, Prompts, Commands, and Output

You retain responsibility for the repositories, branches, prompts, commands, environment variables, build scripts, install scripts, preview scripts, background processes, uploaded files, generated outputs, and deployment actions you choose to use through the service. You are responsible for ensuring that your use of the service complies with your contractual obligations to your users, customers, employers, clients, and collaborators.

You understand that agent-generated output may be incomplete, incorrect, insecure, or otherwise unsuitable for production use without your review. You are responsible for validating code, commands, infrastructure changes, database changes, legal content, security posture, and any other output before relying on it in a production, regulated, or safety-critical setting.

5. Acceptable Use

You may not use the service to violate law, infringe intellectual property rights, interfere with other users, circumvent platform restrictions, attack systems or networks, distribute malware, engage in unauthorized scraping or credential theft, or use the service in a way that creates material operational, reputational, or security risk for grasscoding, Inc. or others. You may not intentionally overload, reverse engineer in a prohibited manner, or abuse the infrastructure in a way that materially degrades platform performance or bypasses commercial restrictions.

We reserve the right to investigate misuse, preserve relevant records as reasonably necessary, and cooperate with legal process, law enforcement, or third-party rights holders where required or appropriate.

6. Plans, Billing, Ads, and Privacy Commitments

Some features may require a paid subscription, team plan, usage commitment, or separate commercial arrangement. Pricing, plan structure, included features, and limits may change from time to time. If you purchase a paid plan, you agree to pay applicable fees, taxes, and charges associated with your use of that plan.

Users on paid plans have the right to data privacy as part of the service offering. We also reserve the right to serve ads within the product or service. Users on the Team Unlimited plan may opt out of ads. Additional billing, plan, or ad-related details may appear in product interfaces, invoices, or supplemental commercial terms.

Free Trial Policy. New users may begin with a free trial period. The trial period lasts 10 days. At the end of the trial period, your subscription will automatically convert to the selected paid plan at the then-current rate unless you cancel before the trial period ends.

Cancellation and Refund Policy. You may cancel your subscription at any time through the cancellation flow in the product. Cancellations take effect immediately upon confirmation. Upon cancellation, your access to the service, including all associated development environments, projects, and data, will be revoked immediately. No refunds, prorated or otherwise, will be issued for any unused portion of a billing period. You acknowledge and agree that by cancelling, you forfeit any remaining time on your current billing cycle. Any promotional pricing, discounts, or special rates applied to your subscription may not be available if you choose to re-subscribe in the future.

Payment Disputes and Chargebacks. By subscribing to any paid plan or purchasing any product or service from grasscoding, Inc., you expressly agree that you will not file any chargeback, payment dispute, or payment reversal with your bank, credit card company, payment processor, or any other financial institution for any charge that has been authorized by you through your use of the service, including but not limited to subscription charges, renewal charges, or charges resulting from a failure to cancel your subscription before a billing cycle or trial period ends.

You agree to resolve any billing concern, disagreement, or question directly with grasscoding, Inc. by contacting support@grasscoding.com before initiating any dispute or chargeback through your financial institution. You acknowledge that the proper remedy for any billing issue is to contact us directly and, if applicable, to cancel your subscription through the product.

If you file a chargeback, payment dispute, or payment reversal in violation of this section, you agree to the following: (a) your account will be permanently and irrevocably banned from the service, with no right to reinstatement; (b) you will be liable for and agree to pay all fees, costs, and penalties incurred by grasscoding, Inc. as a result of the dispute, including but not limited to chargeback fees, dispute processing fees, administrative costs, and any fees assessed by payment processors, acquiring banks, issuing banks, or card networks (collectively, "Dispute Fees"); (c) you authorize grasscoding, Inc. to pursue collection of all Dispute Fees and any outstanding balance through any lawful means, including but not limited to collections agencies, small claims court, or other legal proceedings; and (d) you will be responsible for all costs of collection, including reasonable attorneys' fees.

You further acknowledge and agree that: (i) all charges made to your payment method were authorized by you; (ii) the service was made available to you and you received the benefit of the service for the period covered by each charge; (iii) filing a chargeback for an authorized charge constitutes a breach of this agreement; and (iv) grasscoding, Inc. will contest any chargeback or dispute and will provide evidence of your agreement to these terms, your use of the service, and the authorized nature of the charge to the relevant financial institution, card network, or arbitration body. You agree to cooperate with and concede to any resolution process initiated by grasscoding, Inc. in response to a chargeback or dispute you have filed.

7. Intellectual Property and Feedback

grasscoding, Inc. and its licensors retain all rights, title, and interest in the service, excluding the content and repositories you provide. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service. If you provide feedback, suggestions, product requests, workflow ideas, or bug reports, you agree that we may use them without restriction or compensation.

8. Availability, Suspension, and Termination

We may suspend or terminate access to all or part of the service at any time, with or without notice, if necessary to protect the platform, comply with law, investigate misuse, prevent fraud, mitigate abuse, address infrastructure constraints, or enforce these terms. You may stop using the service at any time. Termination or suspension does not relieve you of payment obligations already incurred or liability arising from prior conduct.

9. Disclaimers

The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free performance. We do not guarantee that the service will be secure, continuously available, or suitable for every workflow, repo, environment, model, or infrastructure target.

10. Limitation of Liability

To the fullest extent permitted by law, grasscoding, Inc. and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or system availability arising out of or related to your use of the service. To the fullest extent permitted by law, our aggregate liability for claims arising out of or related to the service will not exceed the amount you paid to us for the service during the twelve months preceding the event giving rise to the claim.

11. Indemnity

You agree to defend, indemnify, and hold harmless grasscoding, Inc. and its affiliates, officers, directors, employees, contractors, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your repositories, your commands, your use of the service, your violation of these terms, or your violation of law or the rights of a third party.

12. Governing Law and Arbitration

grasscoding is operated by grasscoding, Inc., a company incorporated in Delaware. These terms and any dispute, claim, or controversy arising out of or relating to the product or service are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute that is not resolved informally will be resolved by binding arbitration in Delaware, except to the extent applicable law requires otherwise or allows either party to seek appropriate equitable relief in a court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms of Service from time to time. Continued use of the product or service after revised terms become effective constitutes your acceptance of the updated terms. If you do not agree to a revised version, you must stop using the service.
